Terms of Service

The rules of using ENSURE. By signing up, you agree to these terms.

1. The agreement

These Terms of Service ("Terms") govern your access to and use of the ENSURE platform and website (the "Service"). By creating an account or using the Service, you ("Customer") agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

2. The Service

ENSURE is a cloud-hosted HSE management platform. We provide it on a subscription basis as described on our Pricing page. Features and limits may change as the platform evolves; we will not materially reduce the functionality of a paid plan during a billing period without notice.

3. Accounts

  • You must provide accurate registration information and keep it up to date.
  • You are responsible for safeguarding your credentials and for all activity under your account.
  • You must notify us promptly of any unauthorised use of your account.

4. Acceptable use

You agree not to:

  • Use the Service for unlawful, infringing, or harmful purposes
  • Attempt to gain unauthorised access to other tenants' data or our infrastructure
  • Reverse engineer, scrape, or stress-test the Service without our written permission
  • Upload malware or content that violates intellectual property or privacy rights of others
  • Resell, sublicense, or white-label the Service without a separate agreement

5. Customer data

You retain all rights to the data you and your users upload ("Customer Data"). You grant us a limited licence to host, process, and display Customer Data solely to operate the Service for you. Our handling of personal data is described in our Privacy Policy.

6. Fees and billing

  • Subscription fees are billed in advance, monthly or annually, as selected at signup.
  • Fees are non-refundable except where required by law.
  • We may change pricing with at least 30 days' notice; changes apply to the next renewal.
  • Late payment may result in suspension of the account.

7. Availability

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where reasonably possible. The Service is provided "as is" without warranties of any kind, to the maximum extent permitted by law.

8. Termination

You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period. We may suspend or terminate your account if you materially breach these Terms or if continued service poses a security or legal risk. On termination, you may export your Customer Data for 30 days; after that, we may delete it.

9. Liability

To the maximum extent permitted by law, our aggregate liability arising out of or related to these Terms or the Service will not exceed the fees you paid us in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including loss of profits or data.

10. Indemnity

You agree to indemnify and hold us harmless from claims arising out of your Customer Data, your use of the Service in breach of these Terms, or your violation of any law or third-party right.

11. Changes to these Terms

We may update these Terms from time to time. We will notify account holders by email of material changes, which will take effect 30 days after notice. Continued use of the Service after that constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which ENSURE is incorporated, without regard to conflict-of-laws principles. The courts of that jurisdiction have exclusive jurisdiction over any disputes.
